TERMS OF SERVICE.

2. 100% Client Code and Intellectual Property Ownership

Unless otherwise specified in a formal written Statement of Work (SOW):

• Client IP Guarantee: Upon final payment settlement, all custom source code, application architectures, mathematical design tokens, visual brand assets, 3D models, and proprietary workflows created specifically for the Client become the exclusive intellectual property of the Client.
• Studio Retained Tools: Open-source libraries, general-purpose utility helpers, public npm packages, and pre-existing core studio boilerplate remain under their respective open licenses, granted to the Client on a perpetual, royalty-free, worldwide basis.

3. Sprint and Retainer Milestones

• Flagship Sprints: Executed under fixed timeframes (typically 4 to 8 weeks). Deliverables are validated against acceptance criteria defined in the initial technical architecture specification.
• Embedded SWAT Retainers: Billed on a recurring monthly cycle. Retainers provide dedicated engineering capacity, continuous shipping, and direct access to private repositories and communication channels.
• Change Requests: Revisions beyond the agreed technical architecture baseline will be scheduled into subsequent sprints or billed at the established retainer rate.

4. 24/7/365 Operational Shifts and SLAs

• Global Coverage: iBOY operates continuous engineering shifts across Americas, EMEA, and APAC regions.
• Standard Inquiries: Technical responses to new project inquiries and client communications are guaranteed within 2 to 4 business hours.
• Critical Incident SLA: For clients with active Embedded SWAT Retainers, urgent production incident response is guaranteed under a strict sub-4-hour emergency SLA.

5. Confidentiality and Non-Disclosure

Both parties agree to treat all business plans, product roadmaps, proprietary algorithms, financial models, and customer data disclosed during the engagement as strictly confidential. iBOY will never share client codebase assets, data models, or pre-launch IP with unauthorized third parties.

6. Payment Terms and Invoicing

Invoices are denominated in USD or INR as mutually agreed in the Statement of Work. Sprint projects require an initial commencement deposit prior to sprint mobilization, with milestone distributions tied to sprint checkpoints. Monthly retainers are invoiced at the commencement of each billing cycle.

7. Limitation of Liability and Warranties

Services are delivered according to the highest industry engineering standards, with comprehensive static type checking, automated unit testing, and cross-device performance benchmarks. In no event shall iBOY Innovation Hub be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use deployed software platforms.

8. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of India, under the jurisdiction of the courts of Tamil Nadu, India, without regard to conflict of law principles.
