These terms describe usage rules, project engagement boundaries, and payment expectations for services provided by iBOY Innovation Hub.
By using our website, submitting forms, or engaging us for services, you agree to the terms below.
Work is scoped exclusively to the items defined in the agreed Statement of Work (SOW). No assumptions are made about unlisted features or integrations.
Any feature request outside original scope is treated as a Change Request, requiring written approval of timeline and pricing impact before implementation.
Currency: Indian Rupees (INR). Standard structure: 40% Advance / 40% Midpoint / 20% Handover.
Invoices are due within 7 days. Payments outstanding beyond 14 days attract a 1.5% per month late fee.
GST at 18% is applicable to all services under Indian law.
Client-Owned Assets: All custom designs, code, and content created specifically for the client transfer to the client upon receipt of full and final payment.
iBOY-Retained Assets: Reusable frameworks, component libraries, automation scripts, prompt libraries, and architectural patterns remain iBOY's property.
Open-Source & Third-Party: Work may include OSS components governed by their own licenses (MIT, Apache, etc.). Third-party assets (fonts, icons) licensing responsibility transfers to the client at handover.
Portfolio Rights: iBOY reserves the right to feature completed work in our portfolio and social media unless an NDA specifies otherwise.
Warranty Period: We provide a 30-day bug-fix warranty from final handover. Issues caused by client modifications or third-party API changes are excluded.
Limitation of Liability: Total liability is capped at the total fees paid for the specific project. We are not liable for indirect or consequential damages.
Third-Party Outages: We are not responsible for disruptions caused by hosting providers, gateways, or AI APIs.
Clients agree to provide feedback and approvals within 5 business days of milestone delivery. Delays may shift project timelines proportionally.
Clients are responsible for providing all required assets, credentials, and legal permissions required for delivery.
Confidentiality: Both parties agree to keep proprietary information confidential. A formal NDA is available upon request.
Either party may terminate with 15 days notice. Completed work and dues up to termination date remain payable. Access to project systems may be revoked after closure.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Tiruppur, Tamil Nadu, India.
Both parties agree to keep proprietary information and technical details confidential. This obligation survives termination of the engagement for a period of 2 years.
iBOY is not liable for delays caused by circumstances beyond reasonable control, including natural disasters, government actions, or infrastructure failures. We will notify the client promptly in such events.
Disputes must first be addressed through good-faith negotiation within 15 business days. If negotiation fails, the parties agree to submit to mediation in Tiruppur, Tamil Nadu.
iBOY reserves the right to update these Terms at any time. Changes materially affecting active projects will be communicated via email and require acknowledgment.
If any provision is found invalid, it shall be severed from the rest of the Terms, which shall remain in full force and effect.
These Terms, together with signed proposals or SOWs, constitute the entire agreement between iBOY and the client, superseding all prior communications.
Milestones
Work is delivered in checkpoints. Each milestone includes review + acceptance.
Feedback loops
Fast feedback keeps timelines sharp. Delays may shift schedules.
Access & credentials
You provide required access (domains, hosting, keys) to ship.
Handover
After final payment, we hand over repos, docs, and credentials.
Payments are milestone-based. Refunds (if any) are assessed against delivered work and non-recoverable costs.
Invoices are payable within 7 days of issuance.
Late payments may pause work until cleared.
Scope changes require written confirmation.
Third-party outages are outside our liability.
